Founding Partner at NFA Advogados, Carlos Ferrari has over 25 years of experience in Real Estate Finance and Capital Markets, with a particular focus on real estate finance, structured finance and securitization transactions. Throughout his career, he has advised on more than 850 public offerings involving structured finance and receivables securitization transactions, totaling over BRL 65 billion raised in the capital markets.

His practice focuses on advising real estate developers, originators of real estate assets, investment funds, securitization companies and financial institutions on a broad range of transactions, including issuances of Real Estate Receivables Certificates (CRI), Bank Credit Notes (CCB) and debentures; the structuring of investment funds, including FIDC, FII and FIP; project finance and structured finance transactions; sale and leaseback transactions; built-to-suit agreements; equity offerings; and syndicated loans.

He is the author of several legal articles, particularly in the areas of real estate finance and capital markets, including “Legal Issues Related to the Anticipation of Real Estate Receivables – Real Estate Receivables Certificates” and “Structured Transactions for the Issuance of Real Estate Receivables Certificates”. He is also co-author of the books “Direito dos Negócios Aplicado – Volume 3: Dos Direitos Conexos” (Almedina), “Direito Imobiliário” (Viva Editora and ADIT Brasil), and “Saneamento Básico – Temas Fundamentais, Propostas e Desafios” (Lumen Juris).

Education and professional development

• Holds a postgraduate specialization in Financial and Capital Markets Law from Insper.
• Holds a postgraduate specialization in Tax Law from Fundação Getulio Vargas – FGV/SP.
• Completed an extension program at the University of California, Santa Barbara – UCSB.
• Professor in postgraduate and specialization programs in Business Real Estate Law at Universidade Secovi, and a regular speaker at seminars, conferences and symposiums organized by institutions such as LARES, GRI, ADIT Brasil and Secovi-SP.
